1. Agreement to Terms

These Terms and Conditions ("Terms") form a binding agreement between you and Ana Khavtasi, an Individual Entrepreneur registered in the Republic of Georgia, doing business as Welli("Welli", "we", "us", or "our").

By accessing or using welli.ai (the "Service"), you agree to be bound by these Terms. If you do not agree, please do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Welli provides AI-powered personalized nutrition and meal planning services, including but not limited to:

• Personalized meal plans based on your dietary preferences and health goals
• Smart shopping lists for meal ingredients
• Nutrition advice and guidance through our AI assistant
• Progress tracking and analytics
• Recipe recommendations and cooking instructions

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

3. Eligibility and User Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and purchase any plan. By using the Service you represent that you meet this requirement.

To access certain features you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, not current, or incomplete, or if you violate these Terms.

4. Pricing, Payments and Billing

Welli offers paid plans for fixed periods (for example, a 1-week or 2-week meal plan). Each plan is a one-time purchase:

• Plans do not auto-renew. You will not be charged again unless you manually purchase another plan.
• Prices are displayed at checkout. Prices may be shown in US Dollars (USD) for reference and charged in Georgian Lari (GEL) by our payment processor at the prevailing exchange rate.
• All payments are processed securely by our payment provider Keepz. We do not store your full payment card details.
• Once payment is successfully completed, your plan is activated immediately and you receive instant access to your personalized meal plan and related features.
• You are responsible for any taxes, fees, or charges imposed by your bank, card issuer, or jurisdiction in connection with your purchase.

5. No Refunds and Cancellation

All sales are final. Welli does not provide refunds for any purchased plan.

Welli is a digital service that delivers personalized content generated specifically for you immediately upon purchase. By completing a purchase you expressly acknowledge and agree that:

• You receive immediate access to digital content created for your account
• You waive any statutory cooling-off or withdrawal period that may otherwise apply to digital services delivered immediately, to the extent permitted by applicable law
• No refund will be issued, in whole or in part, for any reason once payment is processed
• Because plans do not auto-renew, no cancellation is required — you simply do not purchase another plan

Technical issues: If you are completely unable to access the Service due to a verifiable technical problem on our side, contact us at support@welli.ai and we will work in good faith to restore access.

Account deletion: You may delete your account at any time. Deleting your account does not entitle you to a refund of any unused portion of a previously purchased plan.

Nothing in this section limits any non-waivable consumer rights you may have under the mandatory law of your country of residence.

6. Medical Disclaimer

IMPORTANT: Welli is not a medical service and does not provide medical advice.

The information provided through the Service is for informational and educational purposes only. It is not intended to be a substitute for professional medical advice, diagnosis, or treatment.

• Always seek the advice of your physician or qualified health provider with questions about your health
• Never disregard professional medical advice or delay seeking it because of information from our Service
• If you have a medical emergency, call your doctor or emergency services immediately
• Consult with a healthcare professional before starting any diet or nutrition program

7. User Conduct

You agree not to use the Service to:

• Violate any laws, regulations, or third-party rights
• Transmit harmful, offensive, or inappropriate content
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems to access the Service without permission
• Collect or harvest any user data without consent
• Resell or redistribute meal plans or content generated for you

8. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, software, and meal plans, are the exclusive property of Welli or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You receive a limited, personal, non-transferable, non-exclusive license to use the meal plans and content generated for your account for your own personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our express written permission.

9. Limitation of Liability

To the maximum extent permitted by law, Welli, Ana Khavtasi, and our affiliates, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of your data
• Any interruption or cessation of the Service
• Any errors or omissions in any content
• Any health outcomes or dietary results

In any case, our aggregate liability for any claim arising out of or relating to the Service or these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected, or that the Service will produce any particular health, fitness, or weight outcome.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, the no-refund policy, and limitations of liability.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of Georgia, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Service that cannot be resolved informally shall be brought exclusively in the competent courts of Tbilisi, Georgia, except where applicable mandatory consumer protection law of your country of residence grants you the right to bring proceedings in your local courts.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
